Terms of Service

1. The Service

LADEO is software for preparing and checking international trade documents. It reads files you upload (for example purchase orders and packing lists), lets you review the extracted data, generates documents such as commercial invoices, packing lists, shipping instructions and certificate-of-origin application drafts, and runs consistency checks.

LADEO is not a customs broker, freight forwarder, carrier, bank, or legal or tax adviser. It does not file declarations or applications with any authority. Worksheets for customs, quarantine or food import procedures are preparation aids only.

2. Accounts

You must give accurate information, keep your password confidential and tell us promptly about unauthorised use. You are responsible for activity in your account. The Service is for business use and not directed at children.

The person who creates a workspace is its owner and controls its members and settings.

3. Free trial and beta features

New workspaces start with a free trial. Trial length and limits are shown in the app. Some features are marked as beta or experimental; they may change or be withdrawn.

4. Your content

You keep all rights to the files and data you put into the Service ("Your Content"). You grant us the limited right to host, copy, process and display Your Content only to provide, secure and support the Service for you.

You confirm that you have the rights and, where personal data of your business contacts is included, a lawful basis to upload Your Content. We do not use Your Content to train AI models and do not sell it.

5. Review responsibility

Extracted values, calculations, checks, HS code candidates and AI-generated drafts can be incomplete or wrong. You must review and approve every document before you use it. You remain responsible for documents you send to customers, banks, carriers or authorities and for compliance with the laws that apply to your shipments.

6. Acceptable use

• Do not break the law, infringe others' rights or upload malware.
• Do not try to access other workspaces, probe or bypass security, or overload the Service.
• Do not use the Service to prepare documents for sanctioned, prohibited or fraudulent trade.
• Do not resell the Service without our written permission.

7. Fees, renewal and cancellation

Paid plans are billed in advance for each billing period (monthly unless stated otherwise) and renew automatically until cancelled. Prices are shown in the app and at checkout; taxes may apply. We will give at least 30 days' notice of price changes for existing subscriptions.

You can cancel at any time in Settings → Usage & plan. Cancellation stops future charges and takes effect at the end of the current period. Refunds are handled under our Refund Policy.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Paddle's buyer terms apply to the purchase. We do not receive or store full card numbers.

8. Third-party services

Some features use third-party services, such as the Korea Customs Service UNI-PASS Open API for clearance status. Their availability and data are outside our control.

9. Availability and changes

We work to keep the Service available and secure but do not guarantee uninterrupted operation. We may change features; if a change materially reduces a paid feature, we will tell you in advance.

10. Suspension and termination

You may stop using the Service and ask us to delete your workspace at any time. We may suspend or terminate access for serious or repeated breach of these Terms, non-payment, or to protect the Service or others. After termination you can request an export of Your Content for 30 days; after that it is deleted, except where the law requires us to keep it.

11. Disclaimers

To the extent permitted by law, the Service is provided "as is" without warranties of any kind, including fitness for a particular purpose and accuracy of outputs.

12. Limitation of liability

To the extent permitted by law, we are not liable for indirect or consequential losses, lost profits, demurrage, penalties or losses from rejected documents, and our total liability for any claim is limited to the fees you paid us in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited by law, including for intent or gross negligence.

13. Governing law

These Terms are governed by the laws of the Republic of the Philippines. Disputes are subject to the competent courts of the Philippines, without affecting mandatory rights you have as a consumer under the law of the country where you live (for example Korea).

14. Changes to these Terms

We may update these Terms. We will post the new version here and, for material changes, notify account owners at least 7 days in advance (30 days if the change is unfavourable to you). Continued use after the effective date means you accept the change.
